You can try a few things to help deduce the problem.
Boot up Windows in Safe Mode and then try to shut it down. If you dont ge the same problem, then it's something the system is loading during the boot that you need to track down further.
You can also try clicking START > RUN then type MSCONFIG
Go to the STARTUP tab and uncheck all the boxes in the list. This will disable all the startup stuff. Click OK, then try and shut down. If you dont have the shut down issue at that point then when the system gets back up, you can go back into MSCONFIG and re-check each check box one at a time, restart and see what happens. If it still works fine, then when the computer comes back up, re-check another one and shut down again, and so on until the computer snags and the problem reoccurs. Once you isolate which process is causing the problem it's easier to fix it for good.
If none of that works for you, then do what Ensign suggested.

1. are you runnign xp
2. do you have av software installed, and if so, is it running an auto-protect feature?
